Terms of Service
These terms govern business use of CMD Ops. They work together with the Privacy Policy, Billing Policy, Acceptable Use Policy, and any Order Form or custom statement of work you accept.

CMD Ops is provided by Clear Frameworks ("Clear Frameworks," "CMD Ops," "we," or "us"). By creating an account, accepting an order, or using CMD Ops, you agree to these terms on behalf of yourself and the business or organization you represent.
If an accepted Order Form or statement of work conflicts with these terms, that signed document controls for the specific service it covers. The Billing Policy controls plan charges, renewals, cancellation, and refunds.
CMD Ops is intended for businesses and adults age 18 or older. You represent that you have authority to bind the business named in the account. If you create or manage an account for an employer, customer, or other organization, that organization is the customer and controls its workspace data, subject to applicable law.
You must provide accurate account and company information, protect credentials, assign appropriate roles, promptly remove access that is no longer needed, and notify us of suspected unauthorized use. Accounts are individual and may not be shared. A company owner or authorized administrator controls invitations, roles, paid-plan choices, and company settings.
You are responsible for activity performed through accounts you authorize, except to the extent caused by a failure of CMD Ops to apply its stated access controls.
CMD Ops provides job, crew, time, schedule, map, material, file, report, and related field-operations tools. Available features and limits depend on the current plan and on whether a feature is identified as available in the product. A page, demonstration, locked panel, beta label, or planned capability does not promise that a feature is generally available.
We may improve or replace features while preserving the material function of a paid plan. If we materially reduce a paid plan during its current term, we will give reasonable notice and an appropriate remedy, which may include continued access through the term, a migration option, or a prorated credit.
You decide what information to enter, who may access it, and how your business uses it. You are responsible for lawful instructions to workers; accurate job, time, payroll, customer, and safety records; required notices and permissions; and independent review before relying on exports or reports.
CMD Ops is an operational tool, not legal, tax, payroll, employment, accounting, safety, or compliance advice. It does not replace required records, professional review, workplace policies, or emergency procedures.
If you enable a location feature, you are responsible for determining whether it is lawful for your workforce and location, giving every required notice, obtaining any consent the law or your policies require, and limiting access to people with a legitimate business need. Employees must be allowed to use the product controls provided to grant or revoke their own location permission.
Location features are designed for job and dispatch use during an open shift, not continuous surveillance. You may not use CMD Ops to stalk, intimidate, discriminate against, or unlawfully monitor anyone. Additional restrictions appear in the Acceptable Use Policy.
You and your organization retain ownership of the company, employee, customer, job, file, and other content submitted to CMD Ops ("Customer Data"). You grant us a limited license to host, copy, transmit, display, back up, and otherwise process Customer Data only as needed to provide, secure, support, and improve the service; follow authorized instructions; and meet legal obligations.
You represent that you have the rights and lawful basis needed to submit Customer Data. Do not submit data prohibited by the Acceptable Use Policy or by an accepted order. Our handling of personal information is described in the Privacy Policy.
Available standard exports may be downloaded while the account is active. Canceling a paid plan does not by itself delete Customer Data: the workspace moves to the applicable lower plan, and over-limit or paid-feature data may become read-only while remaining available for a stated transition period. Account deletion is a separate request.
We may verify the requester and require company-owner approval before exporting or deleting company data. Retention, deletion timing, and backup handling are described in the Privacy Policy and Billing Policy.
We and our licensors retain ownership of CMD Ops branding, software, interfaces, documentation, reusable components, methods, and other provider materials. These terms give you a limited, non-exclusive, non-transferable right to use the service for your internal business operations during the applicable plan term.
If you send feedback, you permit us to use it without restriction or payment, but we will not identify your business publicly as the source without permission.
Custom forms, workflows, integrations, migrations, portals, training, or support require a written statement of work. It will define scope, assumptions, access, milestones, acceptance, fees, third-party costs, support, changes, ownership, and exit. Work outside the accepted scope requires written approval before added charges are incurred.
Unless the statement of work says otherwise, you retain Customer Data and customer-supplied materials; Clear Frameworks retains its pre-existing and reusable systems, tools, connectors, templates, and know-how; and ownership or licensing of customer-specific deliverables follows the statement of work after required payment.
CMD Ops relies on third-party hosting, authentication, database, storage, mapping, email, and other providers. Optional integrations may also be governed by the provider's terms and availability. We are responsible for selecting and configuring our service providers with reasonable care, but do not control independent third-party services or customer-owned accounts.
Third-party fees are separate unless an accepted order expressly includes them. You authorize the disclosures needed to run an integration you enable.
You must follow the Acceptable Use Policy. We may limit or suspend access when reasonably necessary to stop a security threat, unlawful activity, material policy breach, harm to another customer, or nonpayment. When practical, we will notify the company owner and provide an opportunity to cure. Emergency protective action may occur first.
We will limit a suspension to the affected account, feature, or company when reasonably possible. Suspension does not erase Customer Data or create a right to use the service without paying an undisputed amount due.
We work to keep CMD Ops available and secure, but no internet service is uninterrupted or error-free. Unless a signed Order Form provides a service-level commitment, published response times are support targets rather than guaranteed resolution times. Maintenance, provider outages, internet failures, and events outside reasonable control may affect availability.
We warrant that paid services will be provided in a professional and workmanlike manner and will materially conform to their published description during the paid term. Your exclusive remedy for a verified breach of this warranty is reasonable correction or, if correction is not commercially reasonable, termination of the affected paid service and a prorated refund for the unused period.
Except for that limited warranty and to the extent allowed by law, CMD Ops is provided "as is" and "as available." We do not guarantee a particular business result, perfect data, uninterrupted operation, legal compliance, payroll accuracy, route accuracy, or that every error will be corrected. You must review important records, exports, alerts, estimates, and decisions.
To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, goodwill, or business opportunity, arising from these terms.
Except for amounts you owe, misuse of the other party's intellectual property, fraud, willful misconduct, or liabilities that cannot lawfully be limited, each party's total liability arising from CMD Ops will not exceed the fees paid or payable for the affected service during the 12 months before the event giving rise to the claim. These limits allocate risk between businesses and apply even if a remedy does not fully compensate a loss.
You may stop renewal as described in the Billing Policy. Either party may terminate for a material breach that is not cured within 30 days after written notice, or immediately for unlawful use, an unresolved security threat, insolvency, or a breach that cannot reasonably be cured. Terms concerning payment, ownership, Customer Data return, confidentiality, disclaimers, liability, and disputes survive as needed to give them effect.
Before filing a claim, each party will make a good-faith effort to resolve it through written notice and a business discussion. Unless an accepted Order Form says otherwise, Virginia law governs these terms without regard to conflict-of-law rules, and state or federal courts serving Roanoke County, Virginia have exclusive jurisdiction. Nothing here prevents either party from seeking prompt relief for misuse of data, access, or intellectual property.
We may update these terms to reflect service, legal, or security changes. We will post the new effective date and give account owners reasonable advance notice of a material change. Continued use after the effective date means the updated terms apply; a material paid-term change will not retroactively alter an already paid period without an appropriate remedy.
